For on-line payments, include the web site link where payment is to be made and the User Name and Password where applicable.

Terms & Conditions: Terms of Service Agreement Version 1.5 Updated April, 2008 This agreement is between OrderBay and any individual or organization requiring OrderBay's services, hereinafter called the Customer. 1. Service Offering: The services offered by OrderBay include the following: Sourcing Services: sourcing for items requested by the Customer, procuring the merchandise and coordinating delivery to the Customer. Payment Services: contacting and making payments to the appropriate institutions on behalf of the Customer and providing the payment confirmation details to the Customer. Debit Card Services: purchasing prepaid VISA cards on behalf of the Customer and providing the card details to the Customer 2. Right to Decline an Order Request: OrderBay reserves the right to decline the Customer's request for any of our services if it considers the request objectionable or inconsistent with the company's vision, mission or values. 3. Charges Invoiced to the Customer: Any charges generated directly from the above activity, such as taxes, shipping and handling charges, customs and service fees, presently in effect or established in the future, will be billed to the Customer. 4. Authorization to Proceed with an Order: Payment for an order by the Customer indicates acceptance of this agreement and authorization to proceed with the order. 5. Payments to OrderBay Sourcing Services: the customer agrees to pay at least 75% of the total order cost before any purchase is made. The balance payable is due before or upon delivery/pickup. Payment Services: 100% of the total order cost is due before payment is effected on a customers' behalf. Debit Card Services: 100% of the total order cost is due before purchase of the Prepaid Card. 6. Shipping Charges for Sourcing Services: Shipping charges are based on the greater of the actual weight or dimensional weight of the Customer's package. Dimensional weight may apply on bulky, or heavyweight packages and is calculated as follows in Kilograms: length x breadth x height / 336. 7. Limited Liability for Losses: Any direct or incidental losses arising from delay or loss of shipments or failure to execute payment requests, or delivery of an item not requested in place of the item requested, irrespective of whether the fault lies with OrderBay, the customer, the courier company, merchants, institutions, any other third parties or an act of God, is limited to the actual amount paid to OrderBay by the customer. 8. Adherence to Laws and Regulations: The Customer agrees to obey all applicable laws and regulations in effect in both the U.S.A, Canada and Nigeria . The Customer will not knowingly use our service to request / receive import-restricted items, illegal materials or controlled substances. The Customer will be solely responsible for any penalties or fines resulting from a violation of this condition. Illegal activity (as determined by U.S.A, Canadian and Nigerian laws) is not permitted by OrderBay. Any legal fees incurred by OrderBay enforcing the laws of the U.S.A, Canada or Nigeria against a customer or potential customer will be the financial responsibility of the customer. 9. Demurrage Charges: In the absence of a reasonable explanation, demurrage charges will apply if the Customer does not make arrangements to pick up a package (where the package is shipped to OrderBay's Representative) and pay the balance due within two weeks of pickup notification. If the Customers' shipment still remains in OrderBay's possession 30 days after notification of delivery, the items will be returned to the merchant or sold and the Customer will be liable for any shipping charges, restocking penalty and other costs incurred in excess of the deposit paid. 10. Unauthorized Use of Debit Cards: OrderBay is not responsible for the unauthorized use of the Customer's debit card due to misplaced, lost or stolen card details, interception by hackers or any other parties. All losses incurred upon occurrence of any of the foregoing is the sole responsibility of the customer. 11. Changes to Service Fees: Service fees are subject to change without notice. 12. Changes to the Terms and Conditions OrderBay reserves the right, at our sole discretion, to change, modify, or otherwise alter these terms and condition at any time. The Customer is responsible for reviewing the terms and conditions periodically. The Customer's continued use of OrderBay's web site following the postings of changes and/or modifications constitutes acceptance of the current terms and conditions. *I have read and agree with the terms and conditions above.
